AT&T Inc. T 0.09% is in talks to combine a big portfolio of media assets, including CNN, with Discovery Inc., DISCB -1.14% according to people familiar with the matter, a deal that would mark a major strategy shift for the telecom giant as the traditional TV business faces prolonged pressure.

The talks, which cover CNN and other parts of AT&T’s WarnerMedia division, including the TNT and TBS cable channels, are advanced and an agreement could be reached by Monday, the people said. Should there be a deal, AT&T shareholders would own a big stake in the new entity, some of the people said. The people cautioned that a deal isn’t done yet and the talks could still fall apart. Other details of the potential transaction couldn’t be learned.

A deal between WarnerMedia and Discovery, whose portfolio includes its namesake network and HGTV, would further consolidate a media business buffeted by cord-cutting and competition from streaming video.

The talks signal a major pullback by AT&T, which placed a massive bet on media with its 2018 acquisition of Time Warner Inc. for around $81 billion. That deal made it the world’s most indebted nonfinancial company.

Bloomberg earlier reported that AT&T was in talks to combine media assets with Discovery.

Both AT&T and Discovery face daunting challenges in the traditional TV business, as more consumers go without cable and satellite TV connections. Since 2010, about 35 million households have dropped their subscriptions to pay-TV channel packages or have skipped signing up in the first place, according to market research firm MoffettNathanson LLC.

AT&T has staked much of its future in media on HBO Max, an expanded online version of the premium cable channel that is designed to compete with big streaming rivals like Netflix Inc. and Walt Disney Co. ’s Disney+. Discovery, which specializes in nonfiction programming, has its own streaming service called Discovery+.

AT&T has had opportunities in recent years to divest CNN, which was regularly attacked by former President Trump. But the telecom company held on to it, viewing the network as a valuable financial contributor. CNN’s ratings boomed during election season, thrusting it into the top spot in total prime-time viewership, but the network has lost ground amid a wider decline in news ratings. Fox News regained the No. 1 spot in that category.

TNT and TBS carry general entertainment programming, but much of their value is in their rights to air major sporting events, including NBA basketball and college basketball’s “March Madness” tournament. Some employees in these cable channels—once known as the Turner networks—have complained AT&T has starved them of resources and attention, as it favors HBO Max. AT&T executives have disputed that charge. WarnerMedia Chief Executive Jason Kilar said at a recent investor conference that a recent seven-year deal to air National Hockey League games was “a sign to the market that we are investing in the Turner networks” for the long haul.

AT&T still earns most of its profits from mobile-phone and broadband service. Its reported net debt surged to $169 billion at the end of March following an expensive Federal Communications Commission auction for wireless spectrum licenses. The Dallas-based company will need to spend billions of dollars over the coming years to build and maintain an ultrafast fifth-generation wireless network that can keep up with rivals T-Mobile US Inc. and Verizon Communications Inc.

AT&T had talks in recent years with Discovery and HGTV owner Scripps Networks before Discovery acquired it in 2018, according to people familiar with the matter. Some investors have since complained about AT&T’s stewardship of its media assets and the debt it amassed to close the Time Warner deal. Shares closed Friday at $32.24, down about 25% since mid-2016.

The business is now a conglomerate pulled in several directions by its debt load, its obligations as a telecom network operator and the big-budget outlays of its film and TV studios. The company also pays a quarterly dividend that costs about $15 billion a year. Its board last year froze the dividend amount after more than 30 years of annual increases but stopped short of cutting a payout that many investors depend on for steady income.

The channels at the heart of WarnerMedia’s TV business are the latest in a series of assets assembled by former AT&T Chief Executive Randall Stephenson that are now on the block. The wireless giant earlier this year reached a deal with private-equity firm TPG to shed a 30% stake in its DirecTV business for $1.8 billion. Most of the pay-TV unit consists of satellite-TV operations that the company bought in 2015 for $49 billion.

John Stankey, who became CEO of the conglomerate last year, has said he would treat no asset as sacred and can shed any business that doesn’t contribute to its parent’s overall value. At the same time, he has said the company remains committed to HBO Max as the cornerstone of an entertainment business that keeps wireless and broadband customers engaged while earning a healthy profit itself.

Discovery, known for TV shows such as “90 Day Fiancé” and “Diners, Drive-Ins and Dives,” has recently stepped up its investment in the streaming-video sector. The company placed most of its shows into a single streaming service called Discovery+ and operates niche services such as Eurosport Player and Food Network Kitchen. Together, Discovery’s streaming services have 15 million subscribers globally.

The beauty of teaching marketing is that every semester is different. Wait. Make that every week, even day. There is no stasis in this field. As soon as you start to feel comfortable, along comes someone to upset your apple cart and send you scrambling.

Like the pay TV operators must be feeling right now knowing that streamers are now in the majority. Fifty-five-percent of US American households now subscribe to at least one service. And while there are more than 200 different services available now, it is the Big 4 (Netflix, Amazon Prime, Hulu, and HBO Now) that hold the lion’s share of our interest. And money.

At the risk of beating this drum more than once in the last few weeks, it is worth our continued attention, because it means that consumer preferences are changing faster than earlier expected. If I were in management at Comcast, Suddenlink, et al., I’d be worried.

More importantly yet is the other nugget of truth coming out of research: that the average subscriber has three different outlets in his or her portfolio. Assemble the content of three providers, and unless you watch lots of live news and weather (like I do), subscribing to cable or satellite is rapidly becoming a non-starter.

But let’s face it. The cable and satellite providers have built this problem, with ever-increasing rates and programming bundles that sound and look good on paper, but in reality give us nothing more than 500 channels of nothing. Can I get an amen? How many times have you found yourself grumbling that you can’t find anything to watch?

That’s what I thought.

Not that we will always find something worth watching on any of the streaming services, of course, but at least they don’t cost an arm and a leg. With most costing in the $10-$12 range, this is about as a la carte as it gets. Your TV viewing habit is now completely scaleable, kind of like going to a cafeteria and picking the meat loaf, green beans, and mashed potatoes. Nothing more, nothing less. Because you really don’t like Brussels sprouts, remember?

It’s not like people are going off the grid and generating their own electricity, though. Streaming services still have to be delivered using one medium or another, from cable to DSL, from wireless to satellite. The other old-school services are still only an arm’s reach away, if you would ever want to go back.

But I am beginning to have my doubts that people will. Millennials in particular, many of whom have never subscribed to cable or satellite, have no reason to do so. They are perfectly content hand-picking their content, curating what suits their tastes. And for those cutting the cord, the sweet taste of cash savings is hard to give up once it becomes a dietary staple.

The evolution of TV and how we consume it continues to change, and at a faster rate than predicted. Cable and satellite providers will either be nimble in recognizing the threat, and start offering more a la carte possibilities, or we will see them begin to fade. The choice is theirs, just as it is ours.

And as it stands, the consumers are winning in this race down the river.

A Disney Deal for Fox Is Coming Within Days

Walt Disney Co. may announce a deal as soon as this week to acquire a large piece of 21st Century Fox Inc., according to a person familiar with the matter, transferring legendary Hollywood properties to new owners.

Comcast Corp., the other major contender for the Fox assets, said Monday its no longer in the running.

A trust belonging to Fox Executive Chairman Rupert Murdoch and his family would end up with a small stake in Disney in the transaction, said the person, who asked not to be identified because the discussions are private. Disney would acquire Foxs movie and TV studio, networks including FX and National Geographic, and international assets including Star Indias TV channels and a 39 percent stake in European satellite provider Sky Plc. Disney would also get Foxs stake in U.S. streaming-video provider Hulu, doubling its ownership to 60 percent.

21st Century Fox would keep Fox News, the Fox broadcast network and Fox Sports 1. The company would remain independent at least initially, though it could consider a merger later with the Murdochs publishing company, News Corp., the person said. Fox Chief Executive Officer James Murdoch is likely to be offered a senior position at Disney after the transaction closes, the person said. That would put him in the running as a candidate to eventually succeed Disney CEO Bob Iger.

The talks between Disney and Fox, which began more than two months ago, will unite two giants of the entertainment industry and mark a significant turning point for Rupert Murdoch, the mogul who has spent the past seven decades assembling a media empire. A deal will still face regulatory scrutiny in Washington, where the U.S. Justice Department has sued to block another proposed media megamerger between AT&T Inc. and Time Warner Inc.

A deal still hasnt been finalized, and the talks could fall apart. Fox shares rose 1.1 percent to $33.66 at the close in New York. Burbank, California-based Disney climbed 2.5 percent to $106.83. Philadephia-based Comcast rose 1.5 percent in late trading after announcing its no longer pursuing the assets.

“When a set of assets like 21st Century Foxs becomes available, its our responsibility to evaluate if theres a strategic fit that could benefit our company and our shareholders,” the cable giant said in a statement. “Thats what we tried to do and we are no longer engaged in the review of those assets. We never got the level of engagement needed to make a definitive offer.”

In addition to Comcast, Verizon Communications Inc. and Sony Corp. have also explored the idea of acquiring the holdings. Foxs studio would give Disney the rights to popular characters such as the X-Men and the Simpsons, and could let the company cut costs by combining two giant Hollywood operations. The Sky stake would give Disney 22.5 million customers in five countries in Europe, with leading advertising technology, and Disney would be likely to seek full control of the satellite provider.

Assuming Disney acquires the Fox assets in a stock-based deal, Fox shareholders would end up with about 25 percent of Disney, according to Rosenblatt Securities Inc. The Murdoch family trust holds an economic interest of about 16 percent in New York-based Fox, which would translate to a stake of roughly 5 percent in Disney, according to data compiled by Bloomberg.

With speculation mounting that a deal was in the works, the Murdochs — Rupert and his sons Lachlan and James — sent a memo to employees late last week.

“We want to address the headlines about us possibly talking to other companies about a potential transaction,” the Murdochs said in the Dec. 7 email. “While we cant comment on market speculation, we do want to address the impact we know this is having on all of you. Uncertainty always breeds unease. In every way, our focus is on our businesses and on the welfare of all our colleagues.”
